Arrowbolt Propulsion Systems acquires Fairline
Arrowbolt Propulsion Systems Ltd has acquired a majority of shares in Fairline Yachts Ltd.
A notice has been posted on Companies House stating that Arrowbolt Propulsion Systems Ltd now holds 75% or more of the shares in Fairline Yachts.
Arrowbolt Propulsion Systems, which has a London, UK, address was incorporated on December 3 2024, with Zeyaad Ahmed listed as director.
A notice of ceasing to be a person with significant control has also been posted at Companies House regarding Fairline Yachts Holding Ltd.
Zeyaad Ahmed, son of former CEO Ayiaz Ahmed, is also listed as a director of Fletcher International Ltd and Fletcher Boats Ltd.
Ayiaz Ahmed was announced as CEO in September 2015 when Wessex Bristol announced its acquisition – said to be for a deferred £2m – of Fairline Boats Ltd from Better Capital PPC.
At the time, Better Capital said it put Fairline into administration to protect its interests as a senior creditor, after Wessex Bristol failed to inject promised funds into the boat maker that were essential for it to function as a going concern.
Arrowbolt is part of the Fletcher Marine Group.
Sustainable supply chain solution
Fletcher Boats, which was founded in 1960, returned in late 2023 after a short hiatus. The firm’s top priorities include creating a new generation of battery-powered sports boats with world-class designs.
The firm relocated to Somerset in the late 2010s with Zeyaad Ahmed appointed as director in November 2023.
Arrowbolt’s mission is to provide a sustainable supply chain solution.
The company designs and builds state of the art systems, with a focus is on performance boat propulsion systems for the pleasure boat segment for OEM and retrofit markets.
The company designs and engineers complete propulsion systems including battery systems, inboard and outboard electric motors, and dedicated software for control systems.
Redundancies
The company says it uses recycled and upcycled materials wherever possible in order to maintain as part of its commitment to sustainability.
The news of Arrowbolt’s acquisition comes as Fairline is believed to be making around 150 of its workers redundant. Notices are understood to have been sent to staff regarding the job losses.
Fairline Yachts Ltd made a £21.7 million loss for the year ended 31 December 2023, an increase on the £18.8 million loss made in 2022.
During 2024, the company received equity funding of £8.8 million and additional loans from the ultimate shareholder to cover its working capital needs.
Fairline Yachts was acquired by Hanover Investors in 2021.
Fairline has been approached for comment.

A luxury yacht manufacturer has been sold to a company specialising in clean propulsion technology, leading to redundancies.
Fairline Yachts, founded in 1967 in Oundle, Northamptonshire, was purchased by Arrowbolt after private equity firm Hanover Investors sold its stake.
The BBC understands several people at the Oundle site have been made redundant and there could be more than 100 job losses.
Peter Hamlyn, the new chief executive of Fairline, said: "We look forward to aligning the business with our long-term vision to be a clean and sustainable marine brand."
Arrowbolt makes electric propulsion technology and develops zero emission systems for the recreational boat sector.
Hanover Investors bought its stake in Fairline Yachts in 2021.
The company's prototype and development teams are based in nearby Corby, while its testing facility is based at Ipswich Marina in Suffolk.
Both Fairline and Arrowbolt have been contacted for further comment.

Fairline Yachts shipyard changes ownership again
British yacht builder Fairline Yachts is being acquired again, less than a year after the last deal. The new owner wants to accelerate the internationalization of its sales of high-end motorboats.
Hanover Investors acquires Fairline Yachts
Fairline Yachts changed ownership on June 14, 2021. Less than a year after it took over as majority shareholder of the British shipyard in July 2020, the RiverRock fund sold its stake to London-based investment fund Hanover Investors. The amount of the transaction has not been made public. It thus takes control of the high-end motorboat manufacturer founded in 1967 in Oundle, Northampshire. It has a worldwide network of 50 dealers.
Accelerating the internationalization of the British shipyard
Fairline Yachts managing director Peter McNulty welcomes the arrival of the new shareholder, which he sees as recognition of the value of the British yachting business. On this occasion, Jason Carley, a partner in the Hanover Investors fund and previously a member of Fairline Yachts' management between July 2020 and March 2021, returns to the shipyard's side. "It's a recognition of the great work done by the team here at Fairline that a company of the caliber of Hanover Investors has decided to support us. They have an excellent track record of working with companies through their global vision to integrate both investment and operations, with a particular focus on companies that are in the process of internationalizing. While we have a strong international footprint, with Hanover on board, I know we can go much further and faster," said Peter McNulty.

Hanover Investors has announced it has sold its interest in Fairline Yachts to Arrowbolt Propulsion Systems.
Arrowbolt is appointing Peter Hamlyn, former operations director of Fairline from December 2018 to January 2021, as CEO of Fairline. Hanover acquired Fairline in June 2021 via Hanover Active Equity Fund II.
According to the United Kingdom Companies House records, Arrowbolt Propulsion Systems now holds 75 percent or more of the ownership of shares for Fairline Yachts.
Hamlyn says: “We look forward to aligning the business with our long-term vision to be a clean and sustainable marine brand. However, to be clear, the industry faces a number of economic and market challenges, and we will be assessing the current business before making any strategic long-term investment decisions.”
Arrowbolt describes itself as a clean propulsion company and in a statement issued by Hanover Investors it states Arrowbolt was founded in 2022. Companies House, however, shows Arrowbolt Propulsion Ltd to be incorporated on 3 December 2024.
Zeyaad Ahmed is listed as the director of Arrowbolt, and is also listed as the director of Fletcher Boats.
Fairline’s Squadron 58, which launched at Southampton International Boat Show in September 2023 and Boot Dusseldorf 2024, was announced as the winner in the ‘Flybridges up to 60ft’ category at the 2024 Motor Boat Awards.

Staff react to 'shock' redundancies at yacht firm
Former employees at a luxury yacht manufacturer told the BBC how staff were reduced to tears after being made redundant.
Earlier this month, private equity firm Hanover Investors sold its stake in Fairline Yachts and the firm was purchased by Arrowbolt.
Arrowbolt makes electric propulsion technology and develops zero emission systems for the recreational boat sector.
The BBC has been told by former staff that more than 100 people have been made redundant at the firm - based in Oundle in Northamptonshire - and more jobs are expected to be cut.
Kathryn Hodson, an engineer from Thrapston, spoke through tears: "It's not the first time I've been made redundant from Fairline, but this is the most brutal way they've done it so far... It's a complete shock."
Ms Hodson, 36, added: "Anything we thought was happening, [Fairline] went back on.
"We thought it was going to go on until March next year so you prepare yourself a little bit... but I had no idea I was going to be called today. Nobody did.
"They can't keep putting people through this."
Another former employee who wanted to be anonymous said: "[If] they want to keep the business going, they're getting rid of the wrong people."
Darren Hadley, a repairs engineer said: "I just got called up and they said 'you're gone'. No warning. No nothing."
The 56-year-old said he had been made redundant and rehired "three times" in the past at the same company but said this time "morale [in the building] is not very good".
The former employee continued: "No work has been done [today], they're just waiting to be called in.
"Some people cried in there upset, but I'm OK. I'll get another job and I'll enjoy my Christmas with my grandchildren."
