In an effort to reduce the transmission of COVID19, Transport Malta announced on Friday that it has implemented measures to provide online services in relation to yacht and boat registration under the Valletta Registry.

These services include:

• Renewal of the Certificate of Registry;

• Provisional and permanent Registration;

• Transfer of Ownership;

• Any other ancillary services.

It said all payments are to be made by Debit or Credit Card.

All yacht and boat owners, including fishing vessels, are to make any requests for services under the Valletta Registry by email on [email protected] .

Malta is currently facing a rapid increase of daily COVID cases, with fresh restrictions such as the closure of schools, non-essential shops and services and several other measures introduced to mitigate the spread.

Alternatively, customers may wish to call on +356 21250360 for the appropriate guidance on the nature of service required.

Transport Malta thanked its customers for their cooperation in making use of the measures implemented.

Commercial Yacht Registration Malta

In order to qualify as a Maltese commercial yacht, the yacht in question must be coded in line with the Maltese Commercial Yacht Code, as per the following link.

Furthermore, although Maltese commercial yachts of less than 500 GT do not require to be certified in line with the Maritime Labor Convention (MLC), all Maltese commercial yachts require to be MLC compliant, and Certificates of Insurance issued in accordance with the MLC would have to be obtained for all Maltese commercial yachts of any size.

The Maltese Registry of Shipping (Transport Malta) launched the 3rd edition of the Commercial Yacht Code in 2015, which regulates the registration of all commercial yachts starting off from a minimum length of 15 meters, carrying not more than twelve (12) passengers and not any kind of cargo aboard.

All yachts covered by the Code must be surveyed, certified and maintained according to the applicable category requirements. An Initial Survey should be conducted when initially joining the Flag, and after completion Transport Malta will issue a Certificate of Compliance (COC) valid for five (5) years.

All Maltese commercial yachts under 24 meters should undergo an intermediate survey between the 2nd-3rd year and after joining the Flag. A Renewal one should be conducted within three (3) months before expiration of the Certificate of Compliance (COC), whereas all those over 24 meters should be undergoing an annual survey each year, and within this 5-year period.

All those surveys should be conducted either by recognized Classification Societies or Maltese Government approved surveyors.

Crew certification is subject to the yacht's length and gross tonnage. A Minimum Safe Manning Certificate (MSMC) should be compulsory for crafts over 24 meters. Any nationality of the crew should be acceptable.

According to the Commercial Yacht Code, all Maltese-flagged commercial yachts should be carrying onboard adequate transmitting/receiving radio equipment for the kind of commercial operation they are involved.

Provisional Registration could be done either under a Maltese Registered entity or a non-Maltese one (in the latter case this entity should be registered as an International Owner with the Registrar of Shipping and appoint a Resident Agent). For applying provisionally a proper application, complete with Declaration of Ownership, full list of radio equipment, certificate of insurance, MLC compliance, Builder's Certificate or the yacht's Certificate of Conformity (CE Marking) should be also submitted.

And for vessels over 24 meters additional documentation should be also submitted (anti-fouling, International Tonnage Certificate, Certificate of Class, ISM, Continuous Synopsis Record, etc).

Provisional registration should be granted initially for six (6) months, extended thereafter to another three (3), other two (2) and finally one (1).

Permanent registration should require original Bill of Sale, Carving & Marking, Certificate of Survey and original Deletion Certificate from the previous Registry/Flag.

Transport Malta fees for registration are dependent on the yacht's year of build, length & tonnage. Once we receive these details we will prepare our quotation which would include the applicable fees and costs for the first year of registration etc.

Yacht Registration Procedure

Malta has become a Flag of choice for yachts and superyacht Owners – either registering as a pleasure yacht or Commercial Yacht.

Yacht registration procedures are similar to commercial vessels but are dependent on whether they are private/corporate ownership as well as for sole use (pleasure) or charter (commercial).

Commercial Yachts

The registration and operation of Maltese Commercial Yachts is regulated by the Merchant Shipping Act and a code of practice known as the Commercial Yacht Code (for yachts carrying 12 or less passengers).

A yacht owner wishing to register and operate as a Maltese commercial yacht must comply with the requirements contained in this Code. The Code is administered by Transport Malta which is the Government authority responsible for the registration of ships under the Malta flag .

The Commercial Yacht Code imposes standards of safety, pollution prevention and crew welfare which were developed with the relevant IMO Conventions, EU Directives and industry Standards in mind.

In addition to this Code Transport Malta Directorate introduced the new Passenger Yacht Code (PYC) which came into force on the 25th May 2021.  This relates to Passenger Yachts which carry between 13 and 36 Passengers (but not more than 200 persons), which do not carry cargo and which are engaged on international voyages.

Pleasure Yachts

Maltese law provides for a comparatively simple regime for the registration of yachts designated as ‘pleasure yachts’, therefore that are neither categorised as commercial nor racing, and are intended solely for private use.  There is considerable flexibility in the applicable regime, particularly for pleasure yachts which are smaller in size.

Malta’s strategic position is the natural advantage our island has when it comes to the registration of pleasure yachts.  At the borderline between Europe and North Africa, Malta is a hub for the maritime sector.

As a consequence Malta has gained a leading world-wide position in the registration of pleasure yachts through logistical advantages, but also through legal advantages.  The registration process is straight forward with a registration being obtainable within only three days.  Having English as our official language makes the process even faster and secure, not to mention that Malta is a member of the European Union.

YACHT REGISTRATION

Transport Malta’s Merchant Shipping Directorate considers a private registered yacht to be any pleasure yacht, of 6 metres in length or more, which does not carry passengers for reward and is not engaged in trade but is used for the sole purpose of the owner.  Under the Malta Flag a yacht may be registered as a Private yacht or a Commercial yacht.

A commercially registered yacht is considered a yacht, of 15 metres in length or more, which do not carry cargo, carries not more than 12 passengers and operated by the owner or body corporate owning the yacht for commercial use.

The following classes of yachts will be considered for commercial registration:  

  • Yachts in commercial use of not less than 15 metres in length and not more than 24 metres.
  • Superyachts in commercial use of more than 24 metres in length and less than 500 gross tonnes.
  • Superyachts in commercial use of more than 24 metres in length and 500 gross tonnes and over.

Yacht registration whether private or commercial is a very simple and straightforward process subject that all documentation is in order. Yachts are first registered provisionally under the Malta Flag for six months (extendible for a further period, or periods not exceeding taken together six months) during which period all documentation needs to be finalised.

Yacht Registration in Malta: What you need to know!

Malta is one of the most sought-after regimes in the entire world when it comes to yacht registration. This should come as no surprise given the multitude of advantages enjoyed when registering a yacht in this country.

Malta’s strategic location at the heart of the Mediterranean as well as having English as an official language, makes it far easier to adapt. The success of this regime however, is more so based on the significant tax and VAT advantages, the low registration and renewal costs as well as having help and repair available at all times. Malta also offers a great amount of freedom to the yacht owners by having fewer restrictions in regard to the sale and mortgage of Maltese flagged ships.

This Article shall therefore serve as a guide for any individuals interested in registering their yachts in Malta; both as a private yacht as well as a commercial yacht, while also highlighting how DW&P can help turn your dream into reality.

Types of Yacht Registration in Malta

Yachts in Malta can be registered either as a private yacht or a commercial yacht. The Merchant Shipping Directorate in Malta defines both types of yacht registration.

A private yacht is defined as a yacht having 6 meters in length or more, which does not carry passengers for reward, and which do not engage in trade but are solely used for its enjoyment by the owner.

On the other hand, commercial yachts are generally defined as yachts having 15 meters in length or more, which do not carry cargo, which carry 12 passengers or less, and which are operated by the owner or body corporate owning the yacht.

There is no right or wrong answer as to which type of registration is preferred as it will all depend on the owner’s intended use. It is up to the owners to decide whether they want to use their yacht for recreational purposes or else for making a gain. Commercial yachts are a bit more regulated, and as a result, will come with slightly higher registration and annual fees.

It is also important to note that registering as one type will not exclude the possibility of changing your mind and opting to transition from one type to the other, provided of course that the yacht in question meets the necessary requirements.

The Resident Agent

Before one can start the registration process in Malta, non-residents must appoint a resident agent to act in their stead. This means that people living in the EU, Switzerland or residents of the European Economic Area, who are not living in Malta have to appoint a resident agent in Malta.

The resident agent shall act as the local representative of the international owner of the vessel here in Malta, and shall in brief, possess the following powers:

  • act as a channel of communication between the international owner and Maltese government departments and authorities;
  • sign and file on behalf of the international owner, any forms and/or documents as may be required by the Maltese Government departments and authorities;
  • act as a judicial representative of the international owner;

amongst many other responsibilities as laid down by the applicable laws.

Provisional Registration

The first step in registering your yacht under the Maltese flag is to apply for provisional registration. This provisional registration shall be for a period of 6 months and can be further extended for certain periods not exceeding the aggregate 6 months.

In order to apply, the applicant would need to ensure that:

  • all the documents necessary for the provisional registration are duly submitted to Transport Malta;
  • the proposed name of the vessel is reserved with Transport Malta;
  • proof of ownership is at hand;
  • where necessary, a resident agent is appointed;
  • a declaration of ownership is signed before the Registrar;
  • an application for Ship Radio License is duly submitted (where necessary);
  • the payment of the official registration fees and annual tonnage tax is affected;

amongst other requirements, which may become applicable on a case-by-case basis.

During the provisional period the owner may still sail the yacht, provided that certain criteria are met beforehand and that the Provisional Certificate of Malta Registry is always kept by the owner on board the yacht.

The fees associated by this registration shall vary depending on the size and type of yacht being registered. The fees are also subject to change so it would be best to consult an expert beforehand.

Final Registration

Before the expiration of the provisional registration period, owners must provide the Merchant Shipping Directorate with the necessary documentation in order to be fully registered under the Maltese flag.

The main documents required are generally the following:

  • the original builder’s certificate, if the vessel has not been registered elsewhere;
  • a survey of the vessel, which survey shall be completed by a ship surveyor appointed by Transport Malta;
  • the ship’s carving and marking note duly signed by a government survey or a recognized classification society;
  • a radio inspection (where necessary); amongst any others which may be required on a case by case basis.

Once the documents have been duly provided and approved, a Permanent Certificate of Registration is issued for a period of 1 year. This can be renewed annually, and annual fees will apply. Much like the registration fees, the annual fees are subject to change and vary according to the size and type of yacht.

Technical Inspections

What makes Malta’s system so successful is not just the tax benefits and low fees, but also the security that comes with it. State authorities are responsible for ensuring that ships who fly their State’s flag are never below par. Inspections are therefore carried out regularly by the competent authorities on specific instructions.

More specifically, registered yachts have to undergo certain surveys which can be carried out by an appointed ship surveyor or a recognised organisation. Certificates of compliance will be issued and remain valid for a period of 5 years.

In terms of commercial yachts, the surveys have to be carried out, either annually if the ship is larger or equal to 24 meters or else as an intermediary survey if the ship is less than 24 metres in length.

Flagging the Yacht

Flying the flag of a certain State means that the owner accepts that the ship is under the legal jurisdiction and administrative control of that State. Therefore, for a person to choose to register under one State rather than another, they must do so on the basis of which legal regime is more beneficial in terms of the advantages being offered. Some of the most prominent advantages being offered in Malta are the following:

  • vessels may be registered in the name legally constituted corporate bodies, irrespective of their nationality; or by European Union Citizens;
  • affordable maritime administration;
  • efficient registration process;
  • low company formation costs;
  • no trading restrictions and preferential treatment to Maltese ships in certain ports;
  • no restrictions on mortgages;
  • reduction in registration and tonnage tax costs for younger ships;
  • no restrictions on the sale or transfer of shares of a company owning Maltese ships;
  • VAT incentives for Companies interested in chartering their vessels;
  • no restrictions on the nationality of members and employees onboard the vessel;
  • competitive registration and annual fees;
  • low tonnage costs.

Registering a yacht in Malta does not necessarily require the ownership of the yacht to be by a Maltese citizen. In fact, Malta leaves the door open for foreigners to register their yachts under the Maltese flag.

Ownership can either be by a natural person or by a legal person. Ownership by a natural person refers to when a private individual owns the yacht. Ownership by a legal person, on the other hand, reference to when a company validly owns a vessel.

Generally, legal corporations (i.e. legal persons) will be in the form of a Maltese shipping company, whereby the ownership of the yacht will be of the company rather than an individual.

This allows for easy trading and opens up the possibility for people living outside of Malta to register their ship under the Maltese flag. One must still remember however that in order to do this, they would still require a resident agent in Malta.

Advantages Of Registering The Ship Under Malta Flag In Comparison With The Other Jurisdictions:

The pandemic restrictions have also concerned the ship operating and berthing in different marinas and ports.

The European authorities control the vessels operating in the EU waters with the prejudices to avoid vessels registered in third part jurisdictions to be moored in ports in controversy to the international marine law.

Besides, particular European jurisdictions cancelled the possibility to register the pleasure yachts in the individual name of the non – resident ship owners. For instance, the International Certificate for Pleasure Crafts is a so called unofficial proof of ownership is no longer available for the non – residents of Holland as per January 1, 2021.

The Dutch ICP is actually a document of ownership but in that capacity, is accepted in most European countries (not ship registration certificate). This however is not accepted in Spain, Portugal and Italy.

The same situation had happened in Belgium, where since 1 September 2019 the registration in the individual name of the ship owner is only possible to Belgium residents or in the name of the corporate entity, which owned for at least 50% of Belgium share capital.

In this scenario, we would like to emphasise an advantage to register the boat/super yacht in Malta since the registration under Maltese flag is possible in the individual name of any European citizen regardless of his residence.

In case of registering the ship in Malta on the corporate body it is required to open a body corporate in Malta.

Some of the European jurisdictions offer opening UK Ltd/Irish)/off shores entities, which fall under UK/other legislation. That means that being an owner the company is registered in one jurisdiction and with the boat/yacht registered in other jurisdiction; the ship owner hence depends on the legislation of different countries. It may cause the difficulties in the future for ship owner, if the legal bases changes in one of those countries.

If both Certificates of the company incorporation and the ship registration are issued in the same country it promises the stability to the ship owner of such a vessel.

Yacht owners will not depend on the legislation of different jurisdictions, if they register their ship under Maltese flag and own a company to operate such a yacht in Malta .

Reputation And International Maritime Law:

The jurisdiction of the country of the ship registration is a very important element that should not be disregarded. If the country has a bright international reputation the crew and the ship itself are able to move freely around the world without encountering significant legal and bureaucratic obstacles.

Malta has flawless reputation in maritime community and follows international laws and conventions.

Maltese jurisdiction is a priority in the European Union, ranked sixth in the world and accepted by Paris Memorandum of Understanding on Port State Control (MoU) and Tokyo MoU.

Malta is also white-listed by the Organisation for Economic Co-operation and Development and FATF has also no claims against Malta.

The latter are facts, which emphasise that flying Malta flag is very prestigious. Maltese ships have privileges such as no trading restrictions and preferential treatment to Maltese ships in certain ports in the world.

Entering to the Maltese fleet is a prestigious step for the ship owner that strengthens the position of such a ship in the commercial or tourist market.

Following the above we may underline the importance to get ship registration, which complies with the international law, in order to avoid possible difficulties when sailing in international waters or visiting foreign ports.

Taxation And Conditions Of Ship Registration:

Malta’s geographical location and infrastructure always attract investors from different spheres and marine industry is one of them.

Being an international financial centre, the island has a very flexible tax system, which is aimed to take off an extra finance burden from the ship owner.

⚓   The registration fees for any vessel are paid at the first time registration and then annually and depend on the gross tonnage of the vessel, its type and the age.

The registration process for any type of ships are very simple and straight forward provided all documentation is in order.

This process consists from 2 steps:

  • Provisional registration
  • Permanent registration

On the first stage of the ship registration owner applies for the provisional registration .

He is given of 6 months to have all documentation completed.

If not in time this period can be extended for a period or periods not exceeding in the aggregate six months.

Provisional registration in terms of the law has the same effect as the so-called permanent registration and can be obtained effected very quickly.

Requirements for the provisional registration for ship and superyachts are similar in general case and presented in the table below:

1. Application for registration, signed  by the owner or an authorised representative, including, if required, application for change of name of ship. Application for registration, signed  by the owner or an authorised representative, including, if required, application for change of name of yacht.
2. – Proof of qualification to own a Maltese ship (builders certificate and bill of sale, including the completion of a declaration of ownership);

– Memorandum of Articles of association in case of corporate entity.

As a rule, trading ships of 25 years and over are not registered.

*** The Certificate of Compliance is renewable every five years and survey may be carried out by an Appointed Ship Surveyors or by a Recognised Organisation.

**** In case the resident agent is appointed, the ship owner has to provide this agent with the Power of attorney authorising the agent to act on ship owner’s behalf in all matters relating to the registration of the yacht.

The second step towards the permanent ship registration and obtaining the registration Certificate is to submit the following documentation within 6 months of the provisional registration:

1 – Builder certificate in the applicant name if the vessel has not been registered previously;

– Bill of sale or other document showing the vessel was transferred for registry.

2 Deletion Certificate from the previous registry, showing vessel is free from mortgage or vice versa. Deletion Certificate from the previous registry (if applicable).
3 In cases of SOLAS ships, copy of the last updated Continuous Synopsis Record issued by the Administration where the ship was last documented. In cases of commercial yachts over 500 gross tons, copy of the last updated Continuous Synopsis Record issued by the Administration where the ship was last documented.
4 Certificate of Survey and a copy of the international Tonnage Certificate issued by an approved surveyor of ships – for minimum requirements of the appointed surveyor follow the attachment 2. All yachts below 24 metres in length have to undergo an intermediate survey whilst yachts larger or equal to 24 metres in length that are commercially registered have to undergo annual surveys.

Once the paper work is provided the registration Certificate is issued directly by Malta Transport.

A certificate of Malta registry is subject to renewal on the anniversary of the Maltese registration.

On 5 th October 2021 the recovery and resilience plan for Malta was approved by the Ministry of Economy and Finance.

That allows Malta to access the EU’s recovery fund, facilitating of 672.5 billion Euro aimed to support the energy and ecological transition of the European economy.

The reforms and investments outlined in Malta’s recovery plan are focused on green and digital efforts, growth potential, and health and institutional resilience.

This fact is definitely completing the list of the advantages of the Maltese flag jurisdiction, such as favorable geographical position, infrastructure and workforce.

Once the yacht owner chooses Malta for the commercial yacht registration, he will find here the jurisdiction welcoming investment and easy from a regulatory perspective for his investment; an economically and politically stable jurisdiction supported by the Government allowing for the sustainable development.

Finally, a yacht purchased by the Maltese shipping company for the commercial purpose is VAT exempt for both reasons the yacht acquisition and the commercial supplies as well.

II.  Eligibility of the commercial registration.

Both sailing and motor yachts can be registered under the Malta flag for commercial use and they are subject to satisfy to the eligibility criteria of the shipowner and the yacht requirements.

Yacht for commercial use can be registered by the following shipowners:

  • EU, EEA and Swiss national residing in Malta;
  • EU/EEA/Maltese corporate entity;
  • Non – EU citizens with the registered business in Malta.

Yacht requirements for the commercial use:

A commercially registered yacht is considered to be a yacht, of 15 metres in length or more, which do not carry cargo, carries not more than 12 passengers and operated by the owner or body corporate owning the yacht for commercial use.

The following classes of yachts will be considered for commercial registration:

  • Yachts in commercial use of not less than 15 metres in length and not more than 24 metres.
  • Superyachts in commercial use of more than 24 metres in length and less than 500 gross tonnes.
  • Superyachts in commercial use of more than 24 metres in length and 500 gross tonnes and over.

III.   Malta Commercial Yacht Code compliance.

In order to be registered permanently under Malta flag the yacht on commercial use needs to meet with the requirements of the Malta Commercial Yacht Code.

Produced by Merchant Shipping Directorate of Transport Malta for better serve the yachting industry’s needs the new Commercial Yacht Code 2020 came into force on the  1st January 2021.

Compliance with the Commercial Yacht Code 2020 is verified through a special commercial pre-registration survey carried out by an Appointed Government Surveyor or by one of the listed Classification Societies recognised by Transport Malta:

There are no trading or age restrictions when it complies with the Commercial Yacht Code.

Ships of 10 years and over, but under 15 years, must pass an inspection by an authorised flag state inspector before or within a month of provisional registration; and

Ships of 15 years and over are required to pass an inspection by an authorised flag state inspector prior to being provisionally registered. As a rule, trading ships of 25 years and over are not registered, however in the particular cases it may be considered.

The Certificate of Compliance is the subject to renewal every five years and is being issued through the renewal survey, analogous to the initial one.

IV.  Appointed resident agent.

For the NON EU / EEA / Swiss national owners as well as, if the owner of the ship is a foreign corporate entity a registration of resident agent in Malta is mandatory.

Shipowner needs to sign a Power of attorney giving the mandate to the appointed agent to carry out the yacht registration on his behalf.

V.  Malta Commercial yacht registration procedure.

The procedure of the commercial yacht registration in Malta is streamlined and time optimized.

The registration process consists from two steps:

To apply for the provisional registration the application needs to be completed supporting by the Declaration of Ownership, MLC compliance, Builder’s Certificate, CE Certificate of Conformity, list of radio equipment.

For the yachts over 24 meters International Tonnage Certificate, Minimum Safe Manning Certificate, Certificate of Survey, Continuous Synopsis Record, etc. are also applicable.

A person is given three (3) months to have all documentation completed to apply for permanent registration. Upon good cause being given, this period may be extended on a month by month basis.

Provided all necessary documentation is in order, the Provisional Registration Certificate is being issued by Transport Malta within 2/3 days of application.

Permanent registration should require original Bill of Sale, Carving & Marking note, Certificate of Survey, original Deletion Certificate in case the yacht was previously registered in other flag jurisdiction.

Transport Malta fees are subject to be paid for the registration and depend on length, tonnage and year of building of the ship.

For the younger ships, the progressive reduction in registration and tonnage tax cost scheme is an advantage.

Once we receive all the above details, we prepare all necessary documentation to obtain the provisional Malta registration valid for three months and on the second step – the Certificate of the permanent registration under Malta flag.

VI.  Incorporation of the Shipping Organization.

The process of incorporation of the Shipping organisations in Malta is the same like for the ordinary trading and holding companies.

Maltese company formation is a straightaway process, where the both positions of the shareholder and the director are not restricted by the nationality.

The registered Maltese shipping organisation is a licenced shipping organisation under the Merchant Shipping (Shipping Organisations – Private Companies) Regulations, 2004.

The principal objects of such a company are the ownership, operation (under charter or otherwise), administration and management of a ship registered as a Maltese ship.

Such a Shipping Company may benefit from the Tonnage Tax regime  where the company pays a Tonnage tax instead of income tax on its profits.

Minimum issued share capital requirement is Euro 1,200 subject to 20% paid up.

The low company formation fees amounting Euro 245 for the minimum authorised share capital is also considered as an advantage to incorporate a shipping company in Malta.

VII.  Tonnage tax regime in Malta.

Every shipowner when purchases a yacht for the commercial use pursue a goal that is not only to gain the profit and also, to reduce the operational costs of the vessel.

The Tonnage tax treatment helps the shipowner to achieve those intentions.

To be qualified as a tonnage tax exempt and enjoy of the Tonnage tax regime in Malta the yacht has to be registered under the name of the shipping organization and to be declared as a Tonnage Tax ship.

Such a commercial yachts are Income tax exempt on any income resulting from their activity and operations

In this case, commercial yachts may benefit from having the profits generated on their shipping activities charged with a tonnage tax rather than income tax.

An annual tonnage tax based on the gross tonnage of the commercial yacht, and the annual registration fees need to be paid.

The minimum tonnage for those vessels is 1,000 gross tonnes.

We inform the shipowner of the annual tonnage tax/fees to be timely paid and liaise with the Shipping Directorate of Transport Malta for any matters related to the yacht.

VIII. Income tax incentives for the foreign establishments.

If the commercial yacht does not qualify as a tonnage tax ship, the yacht financiers may still benefit of the low effective income tax rate of 5%:

  • Once, the company with the non-resident shareholding ends the financial year with the profit, Maltese taxation and legal system give those clients the opportunity to apply for the Tax refund, which may be claimed by a shareholder on the tax paid by the Maltese company, upon a dividend distribution. Such a tax refund, which is typically applicable at 6/7ths of the Malta tax paid (35% income tax), is repaid to the shareholder within fourteen (14) days of a submission of a valid refund claim form, and in essence enable an effective income tax rate of 5% in Malta;
  • Possibility of tax consolidation for Maltese groups, to eliminate the need to claim tax refunds as aforesaid and wherein to pay directly the effective rate of 5%.

IX.  Financial incentives of the Shipping Organization in Malta.

That shipowner, who acquires a yacht in the name of the Shipping organization established in Malta provided such a yacht is fallen under the tonnage tax scheme, may expect more advantages from operating of that Ship organization:

  • No Malta tax is payable on any income, profits or gains derived from the sale or other transfer of the tonnage tax ship or from the disposal of any rights to acquire a yacht, which qualifies as the tonnage tax;
  • No further Malta tax is chargeable on any gain deriving on the liquidation, redemption, cancellation or any other disposal of shares, securities or any other interest, including goodwill, held in any licenced shipping organisation owning, operating, administering or managing the tonnage tax ship;
  • No Malta tax is chargeable upon the distribution of dividends on profits generated by the shipping organization, though the shareholder is a corporate entity;
  • No stamp duty on the registration of the tonnage tax ship under the Merchant Shipping Act;
  • No stamp duty on the sale or other transfer of the tonnage tax ship;
  • No stamp duty on the issue, purchase, transfer, assignment of any security or interest of the licenced shipping organisation.
  • VAT on short-term charters commencing in Malta is charged at reduced rates and depends on yacht’s lengths and the duration of spending within EU waters.

The Malta VAT department has issued guidelines for those charterin.

The chartering period for such a case is limited of 90 days.

Bareboat charter registration in Malta

A bareboat charter is an agreement for the chartering or hiring of a ship, yacht or boat with no crew or provisions included.

In yachting a bareboat charter is usually for a short period and typically refers to sailing yachts, including catamarans.

A short chartering is considered as a lease of a boat for the arranged period by the agreement, during which the bareboat charter register in the name of the charterer under the Maltese Flag.

Charterer that is eligible to register a bareboat charter can be either corporate entity or other person qualified to own a Maltese ship.

Maltese law provides both for bareboat charter registration of foreign yachts under the Malta flag and also for the bareboat charter registration of Maltese yachts under foreign flag.

To benefit from the bareboat chartering in Malta the foreign yacht shall be registered in a compatible to the Maltese Ship Registry, such as Belgium, Cyprus, France, Gibraltar, Panama, Russia Federation, Turkey, Ukraine and some others.

Yachting bareboat charter registered in Malta enjoys the same right and privileges, and has the same obligations as any other yacht registered in Malta.

Yachting bareboat charter is subject to benefit from the VAT finance leasing structure (Item 12 of Part 2 of the Third Schedule to the VAT Act).

The requirements and registration procedure for the bareboat charter registration in Malta are similar to the yacht registration under Malta flag.

Malta Yacht Registration Process

Yachts, depending on their intended use, can be registered under the Maltese flag, as either private pleasure yachts or as a commercial yacht.

STEP 1: Provisional Registration

Maltese Flag Yachts are first registered provisionally for six (6) months for the finalisation of the documents. Once all the required documentations are provided and the applications are submitted to the Authority for Transport in Malta, a non-operational Provisional Certificate Malta Registry is issued if fees are paid. Once evaluated, the Authority for Transport in Malta submits the necessary documents to the classified society for the issuance of the relative safety certificates, Certificate of Survey and International Tonnage Certificate.

Yacht Registration Malta: Types of Vessels

Private yacht.

The Merchant Shipping Directorate considers a private registered yacht to be any pleasure yacht, of 6 meters in length or more, which does not carry passengers for reward and is not engaged in trade but is used for the sole purpose of the owner.

Commercial Yacht

Yachts operated for commercial use which are 15 meters in length or more, do not carry cargo and carry no more than 12 passengers, can be registered as commercial yachts subject to compliance with the requirements of the Commercial Yacht Code drawn up by the Merchant Shipping Directorate within the Authority for Transport in Malta. The Code set the required standards of safety and pollution prevention.

Notably, there are two main types of yacht registrations under Maltese Law; one may either register their yacht as a pleasure yacht wherein the yacht could be used for personal reasons or for charters within Maltese territorial waters, or else one may alternatively register their yacht as a commercial yacht wherein the yacht could be used for commercial reasons including the option of sailing and chartering outside Malta’s territorial waters.

As of the end of December 2020, there were a total of 4630 yachts under the length of 24m registered under the Merchant Shipping Act. The number of Superyachts over 24m in length flying the Malta flag has increased from the previous year by 6.6% to a total of 859 Superyachts. Malta continues to maintain its position as a leader in ship and boat registration, as the largest register in Europe, as well as the 6th largest register in the world in terms of gross tonnage.

Malta Yacht Registration Process

The CSB Group team of advisors provides full support throughout the whole process required to register a yacht in Malta.

1. Submission of Documents

The CSB Group team will assist you from start to finish to successfully obtain a permanent registration certificate smoothly and efficiently. As your advisors, we would act as an intermediary between yourself and Transport Malta to draft certain documents and submit all the documents required to complete the two-step registration process, consisting first in obtaining a Provisional Certificate of Malta Registry, valid for six (6) months, and subsequently a Permanent Certificate of Malta Registry. 

2. Provisional Registration

After the necessary initial documentation is provided to Transport Malta, if the application for registration of a yacht under the Maltese flag is to the satisfaction of the authority, a Provisional Certificate of Malta Registry will be issued against payment of the relative fee, which shall be valid for a period of six months (subject to further renewal). The same Authority will immediately communicate to the indicated classification society requesting inspection with a view to the issue of the relative documentation (if required).

3. Permanent Registration

Once provisionally registered, for permanent registration to be obtained, we would assist in submitting any additional original documentation required by the Transport Malta during the term within which the yacht holds the provisional registration certificate. 

In the event that the vessel has not been permanently registered after a year, registration must commence anew and the appropriate forms re-submitted and fees paid anew. Additional specific requirements may be imposed by the Transport Malta. Once obtained, the Permanent Certificate of Malta Registry is renewable on an annual basis from the date of initial registration at a fee, which we can also assist with as owner representative and/or resident agents.

Through a healthy working relationship with an independent and licensed European yacht leasing company, CSB Group is able to offer support in relation to obtaining a financial or operating lease for the purpose of completing the financing of yachts.

Tax Structuring & Administration

Structuring of tax efficient yacht owning framework.

Co-ordination of Temporary Importation Procedure

This procedure enables yacht owners, who are non-EU residents and whose yachts do not fly a Maltese flag, to stay within the EU and move freely within EU territorial waters for a period of 18 months. 

During these 18 months, the yacht can move freely with no further customs formalities and should the boat be laid up for any period of time it is also possible to disregard such laid up period for the purpose of reckoning the 18-month period. After such period however, the yacht would need to be exported out of the EU. In such a procedure, customs duties or VAT are not paid on the value of the yacht. 

Notably, should you opt to avail of this procedure, the Customs Authority in Malta will require the provision of a security or guarantee to cover the payment of the customs duties and VAT which would become due if the yacht does not leave EU territory.

Change in Registration Type with the Malta Flag

We can also assist in changing from the type of registration the yacht has been registered under the Malta Flag. Notably, changing from a commercial registration to a pleasure one would be a smoother transaction since there are less criteria to be satisfied for a yacht to be registered for private use. On the other hand, we may assist with change a pleasure registration to a commercial one, provided that the yacht is of 15 metres in length or more but not more than 3000 gross tonnes, does not carry cargo, carries not more than 12 passengers and is operated by the owner or body corporate owning the yacht for commercial use. In this regard, the Malta Commercial Yacht Registration considers the following classes of yachts

  • Yachts in commercial use of not less than 15 metres in length and not more than 24 metres;
  • Superyachts in commercial use of more than 24 metres in length and less than 500 gross tonnes; and
  • Superyachts in commercial use of more than 24 metres in length and 500 gross tonnes and over but less than 3000 gross tonnes. 

Upon satisfaction of the above criteria, we will assist in the sorting out of all necessary elements for obtaining the commercial yacht certification, once the Commercial Certificate of Survey and the International Tonnage Certificate have been duly issued by the surveyor. This includes liaison with the registration and technical departments at Transport Malta in order to progress with the issuance of the Commercial Certificate of Registry. Simultaneously, we will also assist in liaison with the radio licencing department at Transport Malta to enquire whether anything would need updating considering the change in registration.

On another note, the crewing of Maltese yachts is extremely flexible as it does not impose restrictions on the nationality of the crew (including master and officers). 

Deletion from Registry

When the owner of a Maltese registered ship or yacht wishes to effect a transfer to a foreign registry, an application to this effect would need to be sent to Transport Malta, accompanied by a number of documents as requested by the authority, which application we can assist with from start to finish to ensure a smooth process in the attainment of a Deletion Certificate from the Malta Registry.

Malta is one of the most popular EU ports of registry for yachts.

About Malta

The Republic of Malta is situated in the centre of the Mediterranean, south of Sicily, east of Tunisia and north of Libya.

History of the Malta Register of Ships

The modern day Malta Register of Ships was established in 1973 as an open international register of shipping.

The regulator of the Malta Flag, the Malta Maritime Authority, was set up In 1991 the Malta Maritime Authority was established as the regulator and administrator of the Malta Register of Ships.

In 2010, the Malta Maritime Authority was incorporated into Transport Malta (TM) which is a governmental body responsible for maritime, land and air transport in Malta.

Port of Registry

The sole port of registry under the Malta flag is Valletta. This means that the word VALLETTA appears on the stern of all Malta registered vessels.

The Flag (‘Ensign’)

The Malta merchant ensign was adopted on the 12th November 1965. The design of the ensign was based on the flag flown by the Knights of the Order of St. John in Malta up to 1798 to which a white border has been added.

The Certificate of Malta Registry

Upon completion of registration formalities a Malta registered yacht is issued with a Certificate of Malta Registry valid for one year from the date of issue.

Eligibility – Yachts

Malta will accept private pleasure yachts of any size and commercial yachts over 15 metres in length that are based and operated anywhere in the world.

Eligibility – Owners

Malta is an international register meaning that the register is not just restricted to Malta registered companies or Maltese citizens; in fact the following citizens and companies may register a yacht in Malta in their own name:

  • Any European citizen 
  • A company or other body incorporated in any jurisdiction

A European citizen or a non-Malta company registering their yacht in Malta is known as an international owner.

An international owner must appoint a local resident agent in Malta to act as a channel of communication between the international owner and the registry in respect of all matters relating to the upkeep of their yacht’s registration and to act as the owner’s judicial representative in Malta.

Cyprus is a key maritime centre and is recognised as one of the most accessible registries in the EU. It has not only grown in size in the last two decades but has also made a considerable effort to increase the quality of its fleet and related services. As a result, the Cyprus flag is now classified on the whitelist of the Paris and Tokyo MOUs*.

Due to its strategic location at the gateway of Europe, Africa, Asia, and the Middle East, it is a hub for shipowners and investors from all over the world, and there has been a rapid growth in the number of Cyprus shipping companies in recent years.

The procedure for registering vessels under the Cyprus flag has been designed to attract foreign investment and to build a dependable reputation, to be recognised by all of the international shipping authorities.

Cyprus offers competitive yacht registration fees, low ongoing annual fees for yacht owners, and an attractive tax treatment for officers and crew working on a Cyprus registered yacht (whereby they are not subject to income tax), as well as a series of other tax advantages including no tax on profits from operational or management profits, no tax on income or dividends received from a ship management company, and a favourable tonnage tax scheme, based on gross tonnage.

The common practice for those wishing to register a vessel under the Cyprus flag is to incorporate a company in Cyprus, which will either acquire the yacht in its name, or bareboat charter the yacht. Cyprus offers a competitive rate of corporate income tax at 12.5% and low operating costs for Cyprus-owned companies. In addition, there is no estate duty on the inheritance of shares in a Cyprus shipping company and no stamp duty is payable on the ship mortgage deeds.

As a crown dependency, Guernsey has a very reputable yacht registry. It is a member of the 'Red Ensign Group' of British ship registries and its yachts enjoy the high standards associated with the red ensign flag.

By registering a yacht in Guernsey, owners can benefit from the advantages of a tax efficient and stable jurisdiction and the favourable tax laws of the Bailiwick of Guernsey. There is also the advantage of using a Guernsey Corporate structure to own and operate a yacht which can provide asset protection for the owner, together with other benefits.

Guernsey registration is valid internationally and all documentation is issued in English which is widely accepted around the world. There are no requirements for a Guernsey-registered yacht to physically visit Guernsey and owners have the ability to obtain a provisional registration to cover the vessel for navigation immediately after purchase.

Another very attractive factor is that Guernsey is outside the VAT territory of the EU making the register useful for non-EU resident owners wanting to operate their vessel VAT free in Europe, and who are eligible to do so under Temporary Admission (Temporary Importation) relief.

Malta has the largest shipping register in Europe and is the sixth largest in the world. The procedure for registering a yacht in Malta is relatively straightforward; the Maltese authorities are approachable, whilst at the same time, meticulously follow a rigid framework of guidelines and regulations, creating a cutting edge for Malta within this sector.

The Malta flag is a European flag, a flag of confidence and a flag of choice.

Many leading international banks and financiers often recommend the Maltese register. This is due to the several advantages available:

  • No trading restrictions and preferential treatment in many ports.
  • The Maltese flag is on the white list of the Paris MoU, Tokyo MoU and on the Low Risk Ship List of the Paris MoU*. In addition, Malta has adopted all international Maritime Conventions.
  • All yachts can be registered in the name of legally constituted corporate bodies or entities (irrespective of nationality), or by European Union Citizens.
  • A Maltese yacht may also be bareboat charter registered under another flag.

Provisional registration is valid for six months, although this can be extended by a further six months; by this time all of the documentation must have been completed for the permanent registration.

Individuals interested in registering their yacht in Malta, might wish to consider using a Maltese Cell Company. Shipping and Aviation Cell Company Regulations provide the opportunity to use a new cell structure for companies operating in the fields of shipping and aviation, and are treated as separate legal entities. This means assets and liabilities relevant to the individual cell can be segregated from the assets and liabilities of non-cellular elements, and from the other cells which may be held within the structure. A relatively simple example might be where one cell owns yacht A, the second cell owns yacht B, the third cell owns yacht C, and cell D owns the business matters in relation to 'yacht management'. They can all be separated within the structure to ensure extra protection of the assets.

Malta is continuously reviewing their maritime legislation and introducing new regulations, 'leading the way' in terms of new initiatives in this sector. This includes yacht owners that have larger vessels and need to meet obligations for commercial passenger ships.

It is widely recognised when considering the operational pattern and risk profile of yachts, that these requirements, are in some instances disproportionately onerous and impractical in terms of design and implementation. As the trend for larger commercial yachts is growing, the 12-passenger limitation rule has become more problematic, resulting in an increase in administration for a number of organisations. This, combined with encouragement from the yachting industry, has provided impetus for Malta to develop the 'Passenger Yacht Code', to meet industry demands.

The introduction of the 'Malta Passenger Yacht Code' is applicable to passenger yachts which carry between 12 and 36 passengers, do not carry cargo, and which sail internationally. It is certainly a welcome development for those who plan to register larger commercial yachts under the Malta flag. It offers a solution to the many technical issues and concerns which were previously faced by prospective registrants.

PORTUGAL - MADEIRA

Madeira is part of Portugal and has full membership of the EU. This enables yacht purchasers to fully comply with EU legislation and the International Shipping Register of Madeira (MAR) is internationally recognised as a credible and competitive option in comparison to other shipping registers.

MAR maintains the high quality and safety standards of an EU register. It is regarded by the International Transport Workers' Federation (ITF) as a flag of convenience and is included in the Paris Memorandum of Understanding (MOU) White List*.

An advantage of registering a yacht in Madeira is that it is an EU Register which allows full access to navigation in EU waters without any types of restriction for either commercial or private yachts.In addition, its EU standing has the advantage of providing substance to the VAT status of yachts registered in Madeira that operate within EU waters.

Madeira also takes into consideration the purchase of second-hand yachts. Portuguese VAT is applied to the lower acquisition price, as rules allow for devaluation suffered by the yacht (deemed market value). This can lead to a significant reduction in VAT.

Yachts that are commercially registered in MAR and are (i) used for navigation on the high seas and (ii) engaged in commercial/charter activities, benefit from several VAT exemptions:

  • the acquisition price of the yacht;
  • repair, modification and maintenance operations of the yacht;
  • fuel and oil supply;
  • the supply of goods (provisions) to have on board; and
  • the supply of equipment.

In addition, there are no citizenship requirements for the crew, and they are exempt from personal income taxes. The crew also benefit from a flexible social security regime; crew members are not obliged to contribute to the Portuguese social security regime, provided that an alternative pension scheme is guaranteed.

As mentioned above, when we have looked at other jurisdictions, many yacht owners choose to register their vessel via a company structure. The International Business Centre of Madeira (MIBC), with its advantageous tax regime, provides a highly competitive package of tax benefits. Its reduced direct taxation, with effective corporate income tax rate of 5% until 2027, combined with an exemption from withholding tax (providing the shareholders are resident in an EU jurisdiction) on payments of dividends, interest, and royalties to non-residents of Portugal, make s it an attractive location for yacht operating companies.

Madeira companies also benefit from automatic VAT registration on incorporation and are instantly provided with a VAT registration number. This makes it easier for such companies to take advantage of the various benefits available.

Madeira yacht owning companies are exempt from the initial yacht registration fee and receive a 20% reduction in the annual yacht registration fee. Plus, withholding taxes on dividends can be eliminated by routing the investment in the Madeira company through an EU holding company, for example a Maltese holding company.

Tuesday 24 November was a busy day for all those connected with the Malta Yacht Registration industry.  Despite the challenges brought by the Covid19 pandemic, the Maltese ship registry announced really exciting updates.

Biggest Superyacht register worldwide

The Transport Minister for Malta announced that “The Malta shipping register is now the biggest register worldwide of superyachts, with 850 vessels bigger than 24m”.  This was a 7% increase over 2020 following last year’s impressive increase in Ship Registration .

Improved Commercial Yacht Code (CYC) 2020

In the meantime, the Transport Malta Registrar announced that a new and improved Commercial Yacht Code (CYC) 2020 shall be applicable to all commercial yachts and is effective as from the 1st January 2021. Existing commercial yachts already certified in accordance to the CYC 2015, shall comply with the requirements of the CYC 2020 by not later than the yacht’s first periodical survey carried out after the 1st June 2021.

An MS Notice 165 was issued in relation to Training and Certification of Crew engaged on Yachts and Workboats (International Voyages).

Malta Passenger Yacht Code (PYC) 2020

Transport Malta also issued a draft version of the Malta Passenger Yacht Code (PYC) 2020 and has now started a 3-month long consultation period.  The PYC is specifically designed and intended for Passenger Yachts ≥ 500 GT, which carry more than 12 passengers up to 36 passengers, carry not more than 200 persons, which do not carry cargo and which are engaged on international voyages.

Malta Yacht Registration – let us take care of it!

The registration process in Malta is very straight forward, if you know your way around it. Malta Yacht Registrations can register your vessel with a provisional registration of 6 months within 2/3 days, if you have provided us with the correct documents. This provisional registration can be used all over the world while we continue with your permanent registration.

Anyone can own a yacht under the Maltese flag but EU, EEA and Swiss nationals may hold the yacht under their personal name while others would need to hold the yacht through a Maltese or foreign company. It is not required that the owner of the yacht resides in Malta or even in the EU. The place of residence of the owner is not relevant at all.

If the owner is not resident in Malta or the yacht is not owned by a Maltese company we will act as the vessels resident agent. This is a big advantage when compared to other EU vessel jurisdictions which usually require the person to be resident in the country concerned.

In order to receive the permanent registration, we will have to send Maltese Registrar of Ships additional documents but as mentioned we have 6 months to comply. If you cannot get all paperwork finished within 6 months we will apply for an extension giving us another 6 months to collect the papers needed.

Restrictions on certain vessels There are no age restrictions on pleasure yachts or yachts registered under the commercial yacht code.

Note on older vessels:

  • Vessels of 15 years and over, but under 20 years must pass an inspection by an authorised flag state inspector before or within a month of provisional registration end
  • Vessels of 20 years and over but less than 25 years must pass an inspection by an authorised flag state inspector prior to being provisionally registered.
  • Vessels of 25 years and over require express permission by the authorities to be registered.

Pleasure Vessel Registration In Malta

Documents required for the Pleasure Registration of a vessel:

  • Original memorandum and articles of owning a company, only incase the owner of the vessel is a company
  • Recent good standing certificate of owning company, only incase the owner of the vessel is a company
  • Previous ITC (if vessel over 24 meters in length) - in case of new build ITC issued by the builder.
  • Declaration of antifouling (if vessel is over 24 meters length)

Documents required for permanent registration:

  • Original Builders Certificate (in case of new building)
  • Original bill of sale
  • Original certificate of survey
  • ITC (if the vessel is over 24 meters in length)
  • Carving and marking note duly signed
  • Original deletion certificate
  • Surrender the original provisional certificate

Recognised organisations: Survey, tonnage and convention certificates may be issued on behalf of the Malta government by the following recognised organisations: American Bureau of Shipping, Bureau Veritas, China Classification Society, ClassNK, DNV-GL, Korean Register of Shipping, Lloyd’s Register of Shipping, Polish Register of Shipping, Registro Italiano Navale and Russian Maritime Register of Shipping.

REGISTRATION FOR NON EU/EAA SWISS NATIONAL

  • If the owner of the ship is an NON EU / EEA / Swiss national, a registration of resident agent in Malta is mandatory, we will assist you with that. We require a declaration appointing us as Malta resident agent (notarized and apostilled) and a certified copy of owner’s passport (notarised and apostilled).
  • If the owner of the ship is a Maltese company created by us, we will provide all the required documentation.
  • If the owner of the ship is a foreign corporate entity, a registration of resident agent in Malta is mandatory, we will assist you with that. Please see below which documents are necessary in order to register your vessel with the Maltese Registration.

Online Payments - Renewal of Registration of Small Ships

Transport Malta is offering a secure and easy way for boat owners to renew their Small Ship Registration online without having to go to the Small Ships register Office in Hal Lija. As of June 2022 , a new electronic application form service has been created for users with an e-ID who wish to renew their small ship registration online from the comfort of their home, including online payment. The e-form can be accessed by clicking here . This service will be replacing the old online system.  Kindly note that the online application form allows applicants to pay via an online card payment once their application passes vetting and is approved by the Transport Malta SSR Office. Boat owners opting to renew their registration online need to be in possession of an e-ID account. A copy of valid insurance certificate may be required if applicable. You may request your eID by calling on +356 25904300 or sending a request by email on [email protected] .

eResidence Document Holders: Visit one of the eID Registration Offices in Blata l-Bajda or in Rabat (Gozo). Presentation of one’s residence document and an email account are required to apply for an eID account.

Daniel Balzan, Director of Marketing and Communications at Transport Malta took to social media to celebrate the recent record increase of super yacht registrations under the Maltese flag.

Transport Minister Aaron Farrugia recently announced that the Maltese flag witnessed an increase of over 51 per cent in the registration of super yachts over 24 metres, meaning that over 1,030 super yachts are now registered under this jurisdiction.

“Malta’s super yachts registry continues to grow […] Well done to [Registrar General] Ivan Sammut and his team at the Malta Ship Registry,” Mr Balzan wrote.

“These results are a testament that Malta has become the jurisdiction of choice for super yachts,” he continued.

Mr Balzan joined Transport Malta earlier this month following a four-year stint at national carrier Air Malta.

The super yacht registration results were revealed by Minister Farrugia during the Malta Superyacht Symposium, organised by the Malta Chamber of Commerce and the Malta Maritime Law Association.

“This is a record growth, never registered before, and that gives us more strength to continue working towards making this industry a strong economic niche for our country that will continue to help us diversify and exploit our sea and geographical position in the middle of the Mediterranean,” the Minister said.

“Just as Malta has become a global leader in ship registration and as a transhipment hub, so too Malta’s vision is to develop the island as a leading yachting hub in the Mediterranean,” he added.

The Minister went on to note that Malta’s ship register has grown ‘not only in numbers but also in repute,’ with the country increasingly adding high-class yachts to its fleet.
